These Terms of Service (“Terms”) govern your use of the website https://scriptoriumlab.com and the services offered by Scriptorium Lab Services FZCO (“we”, “our”, “us”). By accessing our website or engaging our services, you agree to comply with and be bound by these Terms. If you do not agree, you should not use our website or services.

We may update these Terms from time to time. Continued use of our website or services constitutes acceptance of the revised Terms.

You must be of legal age and have the authority to enter into binding agreements to use our services. If you are accessing our services on behalf of a business or organization, you represent that you are authorized to bind that entity. 

We provide professional content and documentation services including, but not limited to:

• Technical documentation and product guides 
• Policy, SOP, training, and compliance documentation 
• Marketing and corporate copywriting
• Blog writing and SEO-optimized content 
• Proposal, whitepaper, and business content development 
• Retainer-based ongoing content support 

Any service description, pricing, timeline, or deliverable communicated via proposal, quotation, email, or contract forms part of the agreed scope.

• All projects require 100% advance payment before commencement (unless agreed otherwise in writing).
• The remaining balance is due upon delivery of agreed drafts or final deliverables.
• Work begins only after scope confirmation and receipt of the advance payment.
• Failure to provide required project inputs, reference materials, or approvals may delay delivery timelines.

• Clients are entitled to one (1) round of minor revisions within three (3) business days of receiving the draft.
• Revision requests must remain within the original agreed scope. 
• Major changes, restructuring, or added requirements are considered new work and billed separately.
• If the client does not request revisions within the specified period, the deliverable is deemed accepted.

• All work remains the intellectual property of Scriptorium Lab Services FZCO until the invoice is paid in full.
• Upon full payment, copyright ownership for final deliverables is transferred to the client.
• We retain the right to reference non-confidential work samples in our portfolio unless a Non-Disclosure Agreement (NDA) is in place.

• The client is responsible for providing accurate information, reference material, organizational policies, and factual data.
• We do not guarantee legal, medical, financial, or regulatory compliance unless explicitly stated in writing.
• The client is solely responsible for how the deliverables are used or interpreted.

Refunds and cancellations are handled in accordance with our Refund & Cancellation Policy, available on our website. 

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, or consequential damages, including loss of revenue, business interruption, or data loss.
• Our total liability under any circumstance shall not exceed the total fees paid by the client for the specific project concerned.

Both parties agree to maintain the confidentiality of all non-public business, project, or personal information shared in the course of work. This obligation survives service completion or termination. 

We may suspend or terminate services if:

• The client fails to pay invoices on time
• The client becomes unresponsive for more than 14 days
• The client engages in misuse, abuse, or breach of Terms 

In such cases, charges for work completed up to the termination date remain payable.

These Terms are governed by the laws of the United Arab Emirates.
Any disputes shall be resolved exclusively in the competent courts of Dubai, UAE.
